Partner Program Terms of Service
Last Updated: September 2026
1. About This Agreement
These Partner Program Terms of Service (these "Terms") govern your participation in the Rinoo Partner Program (the "Program", "I", "my platform"), under which you ("Partner", "you", "your") refer prospective customers to my managed hosting platform and earn commission on the subscriptions that result. These Terms are in addition to, and do not replace, my general Terms of Service, Privacy Policy, and Refund Policy, all of which continue to apply to you as a user of the platform. If anything here conflicts with those documents on a matter specific to the Program, these Terms control.
By accepting a Program invitation, logging into the partner portal, or using a referral link or code I have issued you, you agree to be bound by these Terms.
2. Eligibility and Enrollment
- The Program is invite-only. There is no public application form. I decide who joins, based on an existing relationship, a referral I have already received from you, or a manual introduction.
- You must be at least 18 years old, or have the consent of a parent or guardian, and must be legally able to enter into this agreement.
- Each Partner may hold one Program account. Operating multiple accounts to combine rate tiers, evade a suspension, or otherwise game the Program is a violation of these Terms.
- Some Partners are given portal access directly by me; others accept an emailed invitation. Either way, participation begins only once you have accepted these Terms, whether by ticking the acceptance box in the invite flow or by another action I treat as acceptance.
3. Your Referral Link and Attribution
- On enrollment you receive a personal referral code and link. A visitor who arrives through your link, or who visits with a
reforfreflink parameter carrying your code, is attributed to you. - Attribution is remembered for 90 days from that visit. If the same browser later arrives through a different partner's link, the newer link takes over — attribution reflects the most recent link followed, not the first.
- A referral is credited to you if the visitor becomes a paying customer while your attribution is the one on record at the time they check out. Signing up alone does not earn a commission; a paid subscription does.
- Attribution follows the browser that clicked the link, not a name or email you tell me about beforehand. I cannot manually attribute a sale that did not pass through your link or code unless I choose to do so at my sole discretion.
- You may not misrepresent your link as belonging to someone else, strip or forge referral parameters, use bots or automated traffic to inflate visits, or otherwise manipulate attribution. Referrals obtained this way are not commissionable and may result in suspension under Section 9.
4. Commission Structure
Your account is assigned one of two commission models. Which one applies to you, and your specific rate, is confirmed in your partner portal and, where relevant, in your enrollment communication — the figures below describe how each model works and reflect the platform defaults as of the date above.
Per-package commission. A flat, one-time amount is paid on a referred customer's first invoice for a package, plus a recurring percentage of every renewal invoice for as long as the subscription remains active and within the earning window described in Section 5. Rates vary by package tier and may differ from Partner to Partner where I have agreed a custom rate with you.
Volume-tier commission. A percentage of every invoice, rising as your number of active referred customers grows, applied to all of your active referrals at the tier you currently qualify for rather than only to the referrals above a threshold. The tier is re-evaluated as your referral count changes.
Only one of these two models applies to your account at a time; I do not combine them. I may adjust the rates, tiers, or thresholds under either model, or the packages they cover, from time to time. A change does not reduce commission already earned on a completed invoice, and I will give notice of a material change under Section 13.
5. Earning Window and Commission Status
- Earning window. There is currently no cutoff — commission accrues on a referred customer's invoices for as long as their subscription remains active, unless I configure a limited window. If I do, only invoices within that window from the date the customer registered through your link would earn commission, and I will give notice under Section 13 before shortening it from the unlimited window described here.
- Commission is recorded per billing cycle as the corresponding invoice is paid, so accrual follows the customer's own billing rhythm rather than a fixed schedule of mine.
- Claim window. An earned-but-unpaid commission balance must be claimed as a payout within 12 months of when it was earned, or it lapses. I will give notice before shortening this window, and a shortened window will not apply retroactively to commission you had already earned under a longer one.
6. Payouts
- Payouts are requested by you and settled manually — there is no automatic transfer. You request a payout from the partner portal once your owed balance reaches the minimum payout amount shown there (100 EGP by default).
- You may only have one payout request open at a time, and a request requires a payout identifier on file for your chosen method.
- Payouts are made to a Vodafone Cash number or an InstaPay address or number that you provide and keep current. I am not responsible for a payout sent to a payout identifier you supplied incorrectly or failed to update.
- I aim to process approved requests as promptly as reasonably possible; there is no fixed turnaround time, and processing may take longer around holidays or banking downtime on the destination network.
- If I decline a payout request — for example because the identifier could not be verified — the balance is returned to your owed total rather than lost, and you may request it again once the issue is resolved.
- You are responsible for any taxes owed on commission you receive. I do not withhold tax on your behalf unless required by law to do so.
7. Refunds, Chargebacks, and Cancellations
If a customer you referred is refunded, disputes a charge, or cancels their subscription, I stop accruing new commission on that customer's account going forward. Commission you have already been paid, or that is already payable to you for billing cycles completed before the refund, dispute, or cancellation, is not clawed back or deducted from future payouts, except where the underlying referral or transaction was fraudulent, abusive, or otherwise in violation of these Terms — in which case I may withhold or reverse the commission associated with it.
8. Prohibited Conduct
You agree not to:
- Refer your own account, a household member's account, or any account you control, for the purpose of earning commission on your own spend.
- Misrepresent the platform, its pricing, uptime, or features beyond what is stated in my published Terms of Service and marketing pages.
- Use spam, unsolicited bulk messaging, or deceptive advertising (including paid search ads bidding on "Rinoo" or confusingly similar terms) to promote your referral link.
- Offer your own cash rebate or incentive to a referred customer in exchange for using your link, where doing so is not otherwise disclosed to me.
- Use cookie-stuffing, forced clicks, bots, or any other technique to generate attribution without a genuine visitor action.
- Share your portal login or referral materials with anyone else to circumvent the one-account-per-Partner rule in Section 2.
A violation of this section may result in forfeiture of the commission involved and suspension or revocation of your Program access under Section 9, in addition to any other rights I have under my general Terms of Service.
9. Portal Access, Suspension, and Termination
- Portal access (your ability to log in and view your dashboard) and your Partner status (your ability to earn new commission) are independent. I may suspend your portal login without affecting commission already earned, and a Partner whose status is inactive keeps any commission already accrued on referrals already attributed to them, even though they can no longer capture new ones.
- I may suspend or revoke your access to the Program at any time, with or without notice, for violation of these Terms, fraudulent or abusive referral activity, or at my discretion where I reasonably believe the Program is being misused.
- Revocation stops future accrual as of the date it takes effect. Commission you earned before revocation remains payable under the standard payout and claim-window terms above, unless the revocation is for fraud, abuse, or a material breach of these Terms, in which case I may withhold or reverse the commission connected to the violation.
- You may stop participating in the Program at any time by contacting support. Doing so does not forfeit commission you have already earned, and is handled the same as a revocation for the purpose of this section, except that no misconduct is implied.
10. Independent Contractor Relationship
You participate in the Program as an independent partner, not as an employee, agent, joint venturer, or legal representative of mine. You have no authority to make commitments, promises, or representations on my behalf, including about pricing, service levels, or features. Nothing in these Terms creates a partnership or employment relationship between us.
11. Confidentiality and Portal Data
Your partner dashboard shows aggregate figures about visitors, signups, and customers attributed to you, and your own commission and payout history. This data is provided so you can track your own referrals and is not to be used for any other purpose, shared publicly, or used to identify, contact, or solicit a referred customer outside of the ordinary course of the relationship you already had with them before referring them.
12. Disclaimer and Limitation of Liability
The Program, the partner portal, and all commission figures shown in it are provided "as is." I do not guarantee any minimum level of referral volume, conversion, or earnings. To the fullest extent permitted by law, I am not liable for indirect, incidental, or consequential damages arising from your participation in the Program, including lost anticipated commission from a technical fault, an attribution that failed to record, or a payout delay. This limitation is in addition to, not instead of, the disclaimers in my general Terms of Service.
13. Modification of These Terms
I may update these Terms at any time; the current version is always the one published at this page. Where a change is material — including a reduction to a standing commission rate, a new claim window, or a change to the minimum payout amount — I will give notice by email or through the partner portal at least 14 days before it takes effect. Continuing to participate in the Program after a change takes effect means you accept it.
14. Entire Agreement
These Terms, together with my general Terms of Service, Privacy Policy, and Refund Policy, constitute the entire agreement between us regarding the Partner Program and supersede any prior discussion or understanding about it.
